Terms of Service 

Please read these Terms of Service ("Terms") carefully before purchasing any product or service from Jake Urbanek Operations Consulting ("we", "us", or "our"). By completing a purchase, you agree to be bound by these Terms. 

 1. Products and Services 

We offer the following: 

  • Digital products: downloadable frameworks, templates, and execution tools 

  • Online courses: structured learning content related to execution and operations 

  • Consulting services: advisory and framework development engagements for organizations 

All products and services are subject to these Terms unless a separate written agreement governs a specific consulting engagement. 

 2. Intellectual Property 

All content, frameworks, templates, course materials, and related intellectual property sold or provided by Jake Urbanek Operations Consulting remain our exclusive property. Your purchase grants you a limited, non-exclusive, non-transferable license to use the purchased materials for your own personal or internal business purposes. 

You may not: 

  • Resell, sublicense, or redistribute any purchased materials 

  • Share access to purchased courses with others not included in your purchase 

  • Reproduce or repurpose our frameworks or templates as your own commercial products 

 3. Payment 

All prices are listed in Canadian dollars (CAD) unless otherwise stated. Payment is due at the time of purchase. We use third-party payment processors and do not store your payment card information. All sales are subject to applicable Canadian taxes. 

 4. Consulting Engagements 

Consulting services are governed by a separate Consulting Agreement or Statement of Work executed between Jake Urbanek Operations Consulting and the client. In the absence of such an agreement, these Terms apply. We reserve the right to decline any consulting engagement at our discretion. 

 5. Disclaimer of Warranties 

Our products and services are provided "as is" and "as available". We make no warranties, express or implied, that our frameworks, tools, or advice will produce specific outcomes for your organization. Results depend on factors outside our control, including how materials are implemented. 

 6. Limitation of Liability 

To the maximum extent permitted by applicable law, Jake Urbanek Operations Consulting shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our products or services. Our total liability in any matter arising from a transaction shall not exceed the amount you paid for the relevant product or service. 

 7. Acceptable Use 

By purchasing our products or services, you agree not to: 

  • Use our materials to develop or sell competing products or services 

  • Use our content, frameworks, or course materials to train, fine-tune, or otherwise develop artificial intelligence or machine learning models 

  • Reverse engineer, decompile, or attempt to extract the source of any proprietary methodology or framework 

  • Use our products or services for any unlawful purpose 

 8. Dispute Resolution 

In the event of a dispute arising from these Terms or any transaction, we encourage you to contact us first at jake@jurboconsulting.com. We will make reasonable efforts to resolve disputes informally within 30 days. If a resolution cannot be reached, either party may pursue mediation through a mutually agreed mediator before initiating formal legal proceedings. Nothing in this clause prevents either party from seeking injunctive or other urgent equitable relief from a court. 

 9. Force Majeure 

Jake Urbanek Operations Consulting shall not be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet or platform outages, illness, or other unforeseen events. In such circumstances, we will notify you as soon as practicable and make reasonable efforts to resume performance. 

 10. Severability 

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect. 

 11. Governing Law 

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario. 

 12. Changes to These Terms 

We reserve the right to update these Terms at any time. The updated version will be posted on our website with a revised date. Continued use of our products or services after any changes constitutes acceptance of the updated Terms.

Refund & Return Policy 

We stand behind the quality of our products and services. This policy outlines our refund terms for each category of offering. 

1. Digital Products (Downloadable Artifacts & Templates) 

Due to the digital nature of downloadable products, all sales are final once the file has been accessed or downloaded. If you experience a technical issue preventing access to your purchased file, please contact us within 7 days of purchase and we will resolve the issue or issue a full refund. 

2. Online Courses 

We offer a 7-day refund window for online course purchases, subject to the following conditions: 

  • Your refund request must be submitted within 7 days of the original purchase date 

  • You must not have completed more than 20% of the course content 

  • Refund requests that do not meet these criteria will be evaluated on a case-by-case basis at our discretion 

To request a refund for a course, email jake@jurboconsulting.com with your order details and reason for the request. Approved refunds will be processed within 5-10 business days to the original payment method. 

3. Consulting Services 

Consulting engagements are governed by the terms set out in your Consulting Agreement or Statement of Work. In general: 

  • Fees for work already completed are non-refundable 

  • If an engagement is cancelled before commencement, a full refund of any deposit will be issued unless otherwise specified in the agreement 

4. Chargebacks and Payment Disputes 

We ask that you contact us at jake@jurboconsulting.com before initiating a chargeback or payment dispute with your bank or credit card provider. Most issues can be resolved quickly and directly. Initiating a chargeback without first contacting us may result in suspension of access to purchased products or services while the dispute is under review. 

5. Exceptions 

We reserve the right to refuse a refund if there is evidence of abuse of this policy (e.g., repeated purchase and refund of the same product).
